hereinafter referred to as “the Client”.
In consideration of the services rendered and to be rendered to, the Client does hereby assign and convey to said II, as its compensation herein the following:

Initial ___ A retainer of $___________, is to be paid to II upon commencement of investigative services to be performed for the Client. The retainer paid by the Client shall be debited by gross billable services performed and case related expenses incurred by II to be charged at the following rates:
Initial ___ $40.00 per hour, per person for Surveillance.
Initial ___ $0.55 per mile, per vehicle for mileage.
Note: Time and mileage is charged from when the investigator leaves the office or their home (whichever distance or time is shortest) until he/she returns to the office or their home (whichever distance or time is shortest).
Initial ___ $30.00 per hour for any Investigative or Research time conducted on the case.
Initial ___ $25.00 per hour for Office/Clerical time associated to case. (Example: phone calls, emails, report writing, travel time.)
Initial ___ FLAT RATE, (to be determined) for any databases researched during the investigation. (Example: phone Search, vehicle, property, etc).
Initial ___ ACTUAL COST for any and all expenditures incurred, as a result of performing such investigative services. (Example: hotel charges, cover charges, tolls/parking, drink minimums, etc.)
Initial ___ The Client understands and hereby acknowledges, that the fees charged by II are based on the amount of time expended on their behalf relating to this matter including, but not limited to; investigation time, travel time, in person and telephone consultation time, report preparation and rendering, evidence processing, depositions, court appearance time, and any subpoenaed appearances, now or in the future. Court appearances subpoenaed or otherwise, are billed at the following rates: ½ day (up to 4 hours) = $120.00, or full day (over 4 hours) = $240.00.
Initial ___ The Client agrees to pay II for the services rendered regardless of the outcome of said services. Payments are due to II before work is begun, unless other arrangements have been made. If there is an outstanding balance incurred by the Client, the balance will be considered delinquent after forty-five (45) days. On the forty-sixth (46th) Day, a late fee will be added to the outstanding balance in the amount of ten percent (10%) of the outstanding balance. An additional ten percent (10%) of the new outstanding balance will be added to the new balance every thirty (30) days until the balance is paid in full.
Initial ___ The Client fully understands that the investigation fees may exceed the above-referenced retainer and that at such time as the retainer has been expended, II will cease all investigating activities until such time as client can be notified and another retainer can be paid; to be charged against at the rates stipulated in the preceding paragraphs.
Pursuant to and in compliance with Arizona State Law, applicable State sales tax of the gross amount due on each invoice shall be charged.
Initial ___ The terms of this Agreement shall end when the retainer has been exhausted, the investigation has been completed, or one or both parties have decided to terminate the Investigation. If the investigation terminates for any reason before the retainer has been exhausted, the total due for services, (including any and all taxes, and expenditures), will be subtracted from the original retainer.
Initial ___ The retainer is non-refundable. If the investigation terminates before the retainer has been applied towards the investigation, an investigative credit will be issued to Client for future investigative services.
Initial ___ A refund in the amount leftover will be issued to the Client within seven (7) business days, when retainers were paid with cash. Refunds on unused retainers paid via personal or business check will not be refunded until such time as the personal or business check has cleared the bank. Client agrees that any unused retainer amount will be requested by client in writing within thirty (30) days of the termination of the investigation, or thirty (30) days from the date of last activity by II. After thirty (30) days all remaining funds will be forfeited.
Initial ___ The Client is entitled to a written report, (see fee schedule above), upon request and any pertinent documentation, as a result of this investigation. The investigation may be terminated at any given time by the Client upon written or verbal notification to the proper representative of II. Immediately following a verbal termination, a prompt written response shall be required from Client for verbal termination to be effective and shall be sent to:

II hereby represents and warrants that it has been issued a Private Investigation Agency Business License No. 1603883, by the Arizona Department of Public Safety, and that such license is current, has not been terminated, and that all fees applicable to the issuance of said license or requisite to the maintenance of said license have been complied with.
II shall furnish and maintain in full force and effect at all times during the term of this Agreement at least the minimum amount of Liability coverage for Bodily Injury and Property Damage required by the Arizona Department of Public Safety.

Client agrees to reimburse II for costs incurred (including attorney’s fees) to collect any past due amounts from Client. Client also agrees that the Place of Venue for any and all legal disputes will be Mohave County, Arizona.
